近年来，国资委深入贯彻落实全面依法治国战略部署，将合规管理作为国有企业法治建设重要内容加快推进。

  国资委发布《关于开展中央企业“合规管理强化年”工作的通知》

  国资委正式发布《中央企业合规管理办法》（以下简称“《管理办法》”），将于2022年10月1日起施行

《管理办法》共八章，包括总则、组织和职责、制度建设、运行机制、合规文化、信息化建设、监督问责、附则，对此前的《管理指引》进行了完善和细化，更加具有明确性和可操作性。

设立首席合规官

《管理办法》规定，中央企业应当设置首席合规官（Chief Compliance Officer，CCO），由总法律顾问兼任。此外还规定，中央企业应当将合规审查作为经营管理的前置审查，重大决策事项的合规审查意见应当由首席合规官签字并提出合规意见。

因此首席合规官被赋予了较大权力的同时也承担了较大的责任。

中央企业应当结合实际设立首席合规官，不新增领导岗位和职数，由总法律顾问兼任，对企业主要负责人负责，领导合规管理部门组织开展相关工作，指导所属单位加强合规管理。

Article 12 The enterprises under the supervision of the Central Government shall, in light of its actual conditions, set up a chief compliance officer, and shall not increase the number of leadership posts. The chief compliance officer shall hold the same post concurrently and be accountable to the principal of the enterprise. The chief compliance officer shall lead the compliance management department to carry out relevant work, and guide the affiliated entities to strengthen compliance management.

中央企业应当将合规审查作为必经程序嵌入经营管理流程，重大决策事项的合规审查意见应当由首席合规官签字，对决策事项的合规性提出明确意见。业务及职能部门、合规管理部门依据职责权限完善审查标准、流程、重点等，定期对审查情况开展后评估。

Article 21 The enterprises under the supervision of the Central Government shall embed compliance review as a necessary procedure in its business management process, and the opinions on compliance review for major decision -making matters shall be signed by the chief compliance officer, giving a specific opinion on the compliance of the matter to be decided. The business and functional departments and the compliance management department shall, according to their duties and authorities, improve the review standards, procedures and focus, and regularly conduct post-assessment of review results.

建立合规风控协作机制

目前很多企业会混淆合规、风险管理、内部控制等，工作体系及内容上存在较多交叉和重叠，对此，《管理办法》明确指出，中央企业应当结合实际建立健全合规管理与法务管理、内部控制、风险管理等协同运作机制。

Article 26 The enterprises under the supervision of the Central Government shall, in light of its actual situation, establish and improve a mechanism for the coordinated operation of compliance management and legal management, internal control and risk management, strengthen overall coordination, avoid overlapping and duplication, and improve management efficiency.

《管理办法》进一步明确了中央企业纪检监察机构和审计、巡视巡察、监督追责等部门的合规职责，删除了征求意见稿中前述机构作为“第三道防线”的表述，并且明确赋予了国资委对央企合规建设进行指导、监督、考评及追责的职责。

• 第四条：

国资委负责指导、监督中央企业合规管理工作，对合规管理体系建设情况及其有效性进行考核评价，依据相关规定对违规行为开展责任追究。

《管理办法》的发布，从组织机构职责、制度建设、运行机制等方面对企业合规管理作出了全面部署和指导，将合规软约束上升为了硬要求，将进一步推动国有企业合规管理工作及合规体系建设。
