Shanghai's strong support for FDI --- Brief comments on the newly Revised Provisions of Shanghai Municipality on Encouraging Multinational Corporations to Establish Regional Head-quarters.

为了进一步鼓励更多跨国公司在上海设立总部型企业，实现更深层次、更宽领域、更大力度的开放，2022年11月8日，上海市人民政府印发修订后的《上海市鼓励跨国公司设立地区总部的规定》（以下简称“规定”）。

For the purpose of further encouraging more multinational companies to establish enterprise with headquarter functions in Shanghai, and to increase the breadth, depth and intensity of opening-up policy, the Shanghai city government formally issued the Revised Provisions of Shanghai Municipality on Encouraging Multinational Corporations to Establish Regional Head-quarters (hereinafter referred to as “Provisions”) on November 8, 2022. 

《规定》首先对于已有的“总部企业”定义外延进行了扩展：在原定义下的“跨国公司地区总部”（即“地区总部”）、“跨国公司总部型机构”（即“总部型机构”）之外，新增加了“跨国公司事业部总部”（即“事业部总部”）。

The Provisions firstly extends the existing definition of "Headquarters Enterprises" : in addition to the original category which includes the "regional headquarters of multinational corporations" (i.e., "regional headquarters") and "quasi-headquarters of multinational corporations" (i.e., "quasi-headquarters"), a new "business unit headquarters of multinational corporations" (i.e., "BU headquarters") has been added.

其中，关于三种“”总部企业“的认定条件如下表：

The qualifications for the defined Headquarter Enterprises (HQE) are as following:

符合条件的总部企业可以申请资助和奖励，虽然新的资助和奖励的具体办法正在制定之中，但是根据我们的经验，对于以往在本市新注册及新迁入本市的以投资性公司形式设立地区总部的，给予最高500万元人民币开办资助。

Qualified HQE can obtain financial assistance and rewards. Although the specified implementation measures of financial assistance and rewards has not been promulgated, however, according to our experience, those newly registered or newly immigrated regional HQ in the form of investment companies will be granted up to RMB 5 million as financial subsidies.

此外，《规定》对于符合条件的总部企业在资金运作、贸易便利、科技创新支持、商事登记、项目投资、人才引进、出入境便利、知识产权保护以及服务支持等方面进行了进一步的规定，值得注意的是，《规定》中对于总部企业聘用人才的户籍办理、符合条件的境外专业人士的职称认定，以及符合条件的外籍人士子女就读本地学校方面都制定了更加积极和开放的政策，体现了本地政府吸引全球人才、汇聚跨国公司企业总部的决心。

Moreover, the Provisions has further detailed stipulations regarding the fund operations and management, trade facilitation, sci-tech and innovation support, registration & commercial affairs, project investment, talent introduction, simplified exit and entry formalities, intellectual property right protection and service support for qualified HQE. It is worth noting that, the Provisions set out more active and open policies on the household registration of talents employed by HQE, the appraisal of professional titles for qualified overseas professionals, and the education of qualified foreign children in local schools, have all reflected the local government's determination to attract global talents and gather the HQE of multinational companies.

《规定》自2022年11月1日起施行，有效期至2027年10月31日。

The Provisions shall come into force from November 1, 2022 until October 31 of 2027.
